 By visiting, accessing, or using https://skylinecrypto.com.tr   (the “Website”), you (“User” or “You”) consent to the Terms of Service (“Terms”). These Terms constitute an agreement and understanding regarding the use of any or all of the Services offered on the Website between You (the User) and the Skyline Crypto, Nevis registered foundation (the “Foundation”). 
1. Introduction 
1.1 By visiting the Website or by clicking on the "Sign up" button, the Foundation may provide the User with access and utility to its services. A description of the Services provided by the Foundation is contained in Clause 3 of these Terms. A list of defined terms and their meaning is contained in Clauses 20 of these Terms. 
1.2 As described in these Terms, the User agrees to be legally bound by these Terms and all terms incorporated by reference. If the User does not agree to be bound by these Terms, it shall not access or use the Website or the Services provided on the Website. 
1.3 The Foundation reserves the right to change or modify these Terms, including but not limited to any policy or guideline, at any time and at its sole discretion. The Foundation will provide notice of these changes by posting the revised Terms and changing the "Last updated" date at the top of the Terms. Any changes or modifications will be effective immediately upon posting the revisions to the Website. These changes will apply at that instant to all then current and subsequent users of the Website. 
1.4 Any formal communication with the User will be undertaken through electronic mail unless otherwise instructed. Documents will be sent to the User by electronic mail and the User should seek to send any documents to the Foundation through the contact form available on the Website. 
1.5 Any formal communication with you will, unless otherwise agreed, be made in the English language. In the event of any discrepancy between the English language version of the Terms or any such communications and any translation of the Terms or such communications (as applicable) in a foreign language, the respective English version shall prevail.
 1.6 The Foundation will send a confirmation or notice to the User by SMS when the User signs up/registers on the Website and every time the User undertakes an action requiring a 2-step verification. In all other cases, the Foundation will send a confirmation or notice to the User by email.
 1.7 The User represents and warrants that the User is the ultimate and effective legal and beneficial owner of any Digital Assets transferred to the User’s Digital Wallet on the Website, that the User shall not act as nominee or trustee for any other person and that you shall not transfer, assign, pledge, charge or otherwise create any security interest or encumbrance whatsoever over such Digital Assets.

2. Eligibility and prohibition of use
2.1 The services provided on the Website are intended solely for users who are aged 18 or older. By accessing or using the Website, You (the User) represent and warrant that: - you are at least 18 years old and have not previously been suspended or removed from the Website; - you are not on any trade or economic sanctions lists of any Competent Authority. 
2.2 The Foundation restricts and prohibits use of all or a portion of its Services provided on the Website for citizens and residents of the United States of America including all U.S.A. territories like Puerto Rico, American Samoa, Guam, Northern Mariana Island, and the US Virgin Islands (St. Croix, St. John and St. Thomas).

3. Services
3.1 The Foundation provides the following services (“Services”) on the Website: - the service of exchange, purchase and sale of Digital Assets; - the service of a Digital Wallet - the service of a Digital Assets Deposit (also called “Cryptocurrency Deposit”) 
3.2. The Services provided on the Website by the Foundation may be subject to additional terms/agreements specific to each Service. The User explicitly agrees to and accepts such additional terms/agreements before using each Service.
3.3 The Services provided on the Website by the Foundation become available to the User only after the User’s creation of a User Account (Clause 6) and subsequent completion of the full KYC (“know your customer”) procedure by the User on the Website. 
3.4 The User acknowledges and consents that the Services are provided by the Foundation according to its current technological capacity and other conditions. While the Foundation has made every effort to ensure continuity and security of the Services, it is unable to completely foresee and hedge legal, technological and other risks including but not limited to force majeure, virus, hacker attack, system instability, flaws in third-party services, acts of government, or government agency etc. that may result in service interruption, data loss and other losses and risks. 
3.5 The Foundation has the right to know the purpose and background of the Users who use the Services provided on the Website. The User should provide comprehensive and accurate information as required. If the Foundation has reasonable grounds to suspect that the User has provided false information, the Foundation is entitled to restrict the User from the use of some or all of the Services temporarily or permanently. 
3.6 The User acknowledges and agrees that the Foundation shall have, at the Foundation’s sole discretion, the right to suspend all or part of the Services, or the User’s access to all or part of the Services, whenever the Foundation determines in Foundation’s sole discretion that: (a) the User may have breached these Terms; or (b) the proper functioning of the Services is in jeopardy. 
3.7 In the event that the Foundation learns or reasonably suspects, in its sole discretion, that the User’s Account is or may be associated with any prohibited business that would cause the Foundation to not be in compliance with any laws, regulations, or other legal authority applicable to it or applicable to the Services in question, the Foundation may consider it to be a violation of these Terms and may suspend or terminate the User’s Account, and/or block Orders or freeze Digital Assets immediately without notice. The Foundation also reserves the right to report any such suspected or actual use to the relevant law enforcement authorities.

4. Placing orders for services
4.1 A registered user may place one-time (single) Orders for the Services provided on the Website. 4.2 The User should verify all relevant information prior to submitting an Order. The User acknowledges and agrees that it is the sole responsibility of the User to ensure the validity and accuracy of an Order. The Foundation shall not be liable for the consequences of the User not providing valid and accurate information when placing an Order. 4.3 The Foundation may limit the number of Orders placed through the User’s Account.

5. Change, interruption, termination, and discontinuance of services
5.1 Service Change and Interruption. The Foundation may change the Services and/or may also interrupt, suspend or terminate the Services at any time with or without prior notice. 5.2 Service Discontinuance and Termination. The Foundation reserves the right, at its sole discretion, to discontinue or terminate the services provided to the User without notice, temporarily or permanently, including, but not limited to, in the following cases: 
(a) if the personal information the User has provided is not true, complete, accurate, or is inconsistent with the information provided at the time of registration and the User has failed to provide reasonable proof; 
(b) if the User violates the applicable laws and regulations; 
(c) if the User/User’s Account violate any terms and conditions of these Terms, and any other applicable policies, rules, regulations or agreements; 
(d) if required by any provisions of applicable laws and regulations, or by the relevant Competent Authorities; 
(e) for reasons relating to investigations under Clause 6.13 of these Terms; or 
(f) for security reasons, or other necessary circumstances, in order to protect the User’s Account from unauthorized access, among other things, as determined at the Foundation’s sole discretion.

6. User account
6.1 Account Registration and Identity Verification. In order to use any of the Services, the User is required to sign up/register and to provide accurate information for all fields on the sign up/registration page to verify its identity, along with affirming these Terms and confirming that the User is not a citizen or resident of the United States of America including all U.S.A. territories like Puerto Rico, American Samoa, Guam, Northern Mariana Island, and the US Virgin Islands (St. Croix, St. John and St. Thomas). 
6.2 By registering an account on the Website, the User agrees and represents that the User will use the Account only for itself, and not on behalf of any third party. The User agrees to provide the Foundation with authentic information at registration and on an ongoing basis for the purposes of identity verification and the detection of money laundering, terrorist financing, fraud, or any other financial crime, including without limitation a copy of the User’s government issued photo ID. If any such information changes, it is the User’s obligation to update such information as soon as possible. 
6.3 Protecting Account. The User agrees to not enable anyone to use or direct the User’s Account, and to update the Foundation of any information change or if the User’s Account has been compromised. The User is responsible for keeping, protecting and safeguarding any keys, certificates, passwords, access codes, user IDs or other credentials and login information (collectively "Passwords") that have been provided to the User or that are generated in connection with the User’s use of the Services. 
6.4 The User agrees to notify the Foundation immediately of any unauthorized use of its Passwords. The Foundation bears no responsibility for any liabilities, losses, or damages of any kind, whether direct or indirect, arising out of the unauthorized use of the User’s Passwords. 
6.5 The User agrees to be solely responsible for any loss or damage caused by the User authorizing any third party or third-party platform to use the User’s Passwords information, and any loss or damage caused to the User by the third party or third-party platform using the User’s Account Passwords information. The Foundation will not be liable for any compensation or other legal liabilities for the loss or damage caused by the above-mentioned circumstances. 
6.6 To avoid potential security risks, the User bears the responsibility of not setting the same or similar login password, administration password and any other passwords. 
6.7 Once the User is registered, it will get a username and password, and is responsible for all activities and events with this username and password after entering the system, and bears all the legal liability directly or indirectly caused by the language and behaviors of the use of this username. 
6.8 Password Recovery. Users who lose their passwords can reset it after being verified through their registered email address or phone number. The User shall immediately report to the Foundation if any unauthorized operations or security breaches are found. 
6.9 Account Closure. The User may request the Foundation to close its Account at any time. Closing an account will not affect any rights and obligations incurred prior to the date of account closure. Prior to the Foundation closing the User’s Account, the User may be required to either cancel or complete all open orders and, in accordance with the provisions of these Terms, provide transfer instructions of where to transfer any Digital Assets remaining in its Account.
6.10 The User is responsible for any fees, costs, expenses, charges, or obligations (including, but not limited to, attorney and court fees or transfer costs of Digital Assets) associated with the closing of the User’s Account. User may not close it Account to avoid paying any fees otherwise due or to avoid any examination related to the Foundation’s anti-money laundering (AML) program. The Foundation reserves its absolute right to accept or reject an account closure request at its sole discretion. 
6.11 Account Suspension. The Foundation has the right at any time to suspend the User’s Account. Also, the User agrees that the Foundation can freeze/lock the Digital Assets in the User’s Account and suspend part of or all of the User’s access to the Website, if we suspect, at our sole discretion, any of the following:
 (a) The User’s Account is or has been operated in violation of any terms and conditions of these Terms and any other applicable policies, rules, regulations or agreements; 
(b) an unauthorized person is attempting to gain access to the User’s Account; 
(c) the User is using its credentials or other account information in an unauthorized or inappropriate manner;
(d) for reasons relating to investigations under Clause 6.13 of these Terms; or 6.12 The Fund may require the User to submit additional information and complete other verification or attestation actions if there is need to conduct Enhanced Due Diligence on the User/User’s Account. 
6.13 Investigation. The Foundation shall investigate and take action(s) against the User/User’s Account, including suspending, freezing and/or seizing the User’s Account, in the event that the Foundation suspects or otherwise has cause to believe, at the Foundation’s sole discretion, any of the following:
 (a) the User/User’s Account is the subject of any investigation by law enforcement, government bodies, warrants, subpoenas, court orders or other similar procedures and processes in any relevant jurisdiction; 
(b) the User/User’s Account is the subject of any pending and/or current litigation in any applicable jurisdiction;
 (c) the User/User’s Account is in violation or has been involved in a violation of any applicable laws or regulations; or 
(d) the User/User’s Account is involved in suspicious, illegal or fraudulent activities. 
6.14 Account Termination. The Foundation has the right to terminate the User’s Account at any time and for any reason, and at the Foundation’s sole discretion, including those in Clause 5.
6.15 Effect of Suspension or Termination. The Foundation shall continue to maintain custody of all Digital Assets and information in or relating to such Accounts, which may be seized and turned over to any third parties, including but not limited to the Competent Authorities, in the event that the User’s Account was suspended or terminated pursuant to the reasons set out in Clause 6 of these Terms. 
6.16 If the User’s Account is terminated, subject to Clause 6.15 and any ongoing investigations and considerations, the Foundation will return the User’s Digital Assets, less the value of any discounts, rebates, costs, expenses and/or damages that the Foundation is entitled to pursuant to these Terms and applicable laws and regulations. If the User’s Account is not, or is no longer subject to an investigation, court order, subpoena or similar legal procedure in any applicable jurisdiction(s), the User authorizes the Foundation to return to the User any Digital Asset remaining in the User’s Account upon receiving a written notice from the Foundation. 
6.17 The Foundation may, at its sole discretion and without prior notice close a User’s Account, or suspend a User’s access or use of the Services, refuse any Order submitted, if the Foundation deems that a User may have contravened applicable laws and regulations.

7. User rights and limitations to license use
7.1 The Foundation grants the User a limited, nonexclusive, non-transferable right, subject to the Terms, to access and use the Website and the Services provided on the Website, solely for approved purposes as permitted by the Foundation. The User agrees that the User will not copy, transmit, distribute, sell, license, reverse engineer, modify, publish, or participate in the transfer or sale of, create derivative works from, or in any other way, exploit any of the Foundation’s Services or Website. 
7.2 The User agrees that: 
(a) all rights, title and interest in the Services and the Website, including all intellectual property rights therein, are and shall remain with the Foundation; 
(b) no right or interest in the Services and the Website is conveyed other than the limited rights granted herein;
(c) the Services and the Website are protected by the copyright and other intellectual property laws; 
(d) all rights not expressly granted in these Terms are reserved.

8. User obligations
8.1 The User shall not register multiple accounts for any purpose. 
8.2 The User may not use another user’s accounts.
8.3 The User must not use the Website or the Services provided on the Website in any way that causes, or may cause, damage to the Website or impairment of the availability or accessibility of the Website, or for any unlawful, illegal, fraudulent or harmful purpose or activity under applicable laws and regulations.
8.4 The User agrees to indemnify the Foundation and hold the Foundation harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees) made by any third party against the Foundation due to or arising out of or in connection with the User’s use of the Website or the Services provided on the Website. 
8.5 The User is prohibited in any form from utilizing the Website to engage in illegal activities. 
8.6 The User shall comply with all laws and regulations, and bear the responsibility and legal consequences of any its own actions involving the use of the Website and the Services provided on the Website. 
8.7 If the User violates any obligation above, the Foundation has the right to take all necessary measures directly, including but not limited to suspending or terminating the User’s Account and prosecution.

9. Commissions, fees, and costs
9.1 During the course of using the Services, the User may be subject to various commissions, fees and costs. Prior to placing an Order, the User must obtain a full understanding of all commissions, fees, and costs for which the User may be liable. By using the Services provided on the Website, the User agrees and accepts to incur such commissions, fees and costs. 
9.2 The Foundation has the right to set and modify its commissions, fees and costs at its discretion. The Foundation provides the necessary information about all commissions, fees and costs for the use of the Services provided on the Website either on a specific page where the User places an Order for the Services provided on the Website or in additional terms/agreements specific for each Service, which the User must agree to and accept before using each Service. 9.3 The exchange rate, the total amount of the transferred Digital Assets, as well as other information pertinent to the type of Service used, may be indicated on a specific page where the User places an Order for the Services provided on the Website. 
9.4 If the User does not agree with any commissions, fees and costs charged, the User must stop using the Services provided on the Website immediately. 
9.5 The Foundation charges the commission costs at the time of the relevant operation by the User.

10. Risk disclosure & due diligence
10.1 By signing up for an account, the User is deemed to have reviewed, understood and accepted all foreseeable and non-forseeable risks associated with the Services provided on the Website. The User must exercise prudent judgment when using the Services provided on the Website. 
10.2 The User acts on its own risk when using the Services provided on the Website. The User understands that it bears the risk of potential losses up to and even beyond the full amount of the invested capital. 
10.3 The Foundation accepts no liability whatsoever in the event that any risk is not addressed in these Terms or in the event the User bears losses as a result of its actions. 
10.4 The User acknowledges and agrees that it is the User’s responsibility to stay up to date with the risks associated with the Services provided on the Website. 
10.5 Providing any other person access to the User’s Account involves risk. The User must take all necessary steps to ensure that any person the User provides access to are appropriate and legal. The User must also adopt controls and protocols relating to the User’s Account as the User sees fit in order to monitor the activities of such persons in order to ensure that they remain appropriate and legal in their capacity. The Foundation is released from any and all liability arising out of or in connection with all the aforementioned. 
10.6 The User undertakes all necessary actions to foresee and prevent access to the User’s Account by unauthorized third parties without the User’s knowledge or authorization. 
10.7 The User is responsible for complying with the applicable laws and regulations and is solely responsible for determining which laws may apply to its Orders, including any applicable tax laws. A User is solely responsible for reporting and paying any taxes arising from its use of the Services. 
10.8 Due diligence. Any information provided on the Website is for information purposes only and is not, nor intended to be, financial advice, investment advice, recommendation or any other advice. The Foundation does not warrant the accuracy, completeness or usefulness of such information and such information should not be considered as an offer to buy or sell any Digital Asset. The User is solely responsible for determining whether any use of the Services is appropriate. The User is solely responsible for conducting a thorough investigation, review and analysis of the Services provided by the Foundation before making any decision.

 

11. Compliance with local laws and taxes
11.1 It is the User’s sole responsibility to determine whether, and to what extent, any taxes apply to any Orders the User conducts through the Services provided on the Website, and to withhold, collect, report and remit the correct amounts of taxes to the appropriate tax authorities. The User agrees that the Foundation does not provide legal or tax advice and is not responsible for determining whether taxes apply to the User’s Orders, or for collecting, reporting, withholding or remitting any taxes arising from any such Orders by the User. It is the User’s responsibility to consult lawyer/professional tax adviser to determine the User’s obligations and the User’s tax status in the User’s home jurisdiction.
 11.2 Regarding the prevention of terrorist financing and anti-money laundering (“AML”), and also compliance with laws and regulations in any applicable jurisdiction(s), the Foundation will work with the Competent Authorities and local, regional, national and multi-national authorities as required, and may provide any information associated with the User to such authorities. The Foundation may also access and disclose information associated with the User to external third parties if, in the Foundation’s sole discretion, the Foundation believes doing so is required or appropriate to: - comply with relevant law enforcement or national security requests and legal procedure in any applicable jurisdiction(s); - enforce the Foundation’s applicable service terms, operational rules, policies or any other agreements; - or assist with an investigation or prosecution of suspected or actual illegal activity. 
11.3 When using the Services provided on the Website, the User acknowledges, represents and undertakes and agrees that all User’s actions are made in a legal and proper manner and the User’s sources of Digital Assets and fiat currency are not from illegal activities. If in the Foundation’s sole discretion, the Foundation believes that the User is in breach of the above representation and undertaking, the Foundation may discretionarily or in coordination with local law enforcement authorities seize, freeze, restrict or close-out the User’s Account and any Digital Assets held on the User’s Account.

12. Privacy policy
12.1 Please refer to the Foundation’s Privacy Policy for information about how the Foundation collects, uses, and shares the User’s information.

13. Limitation of liability, warranties and indemnification
13.1 Exclusion of liability. The Foundation shall not be liable for any Loss arising, directly or indirectly, from: 
(a) any Losses arising from the User’s breach of these Terms; 
(c) any Losses arising from the User’s violation of any applicable laws and regulations; or
(d) any act or omission by a third party with access to the User’s Account, and the User hereby releases and waives any right to claim any such Loss from the Foundation. 
13.2 Limitation of liability. To the fullest extent permitted by the applicable laws and regulations, the total aggregate liability of the Foundation for Losses that the User may suffer arising out of, or in connection with the information or material provided by the Foundation on the Website shall be limited to a maximum aggregate value of USD 100. 
13.3 To the fullest extent permitted by the applicable laws and regulations, the total aggregate liability of the Foundation for Losses, arising out of an individual claims or series of claims, incurred by the User arising out of, or in connection with the Services, any performance or non-performance of the Services and any other breach of these Terms shall be limited to a maximum aggregate value of USD 100. 
13.4 In no event shall the Foundation be liable to the User for any indirect losses. 
13.5 While the Foundation has made every effort to ensure the accuracy of the information on the Website, the information and content on the Website is subject to change without notice and is provided for the sole purpose of assisting users to make independent decisions. The Foundation has taken reasonable measures to ensure the accuracy of the information on the Website; however, it does not guarantee the accuracy, suitability, reliability, completeness, performance and/or fitness of the information on the Website, and will not accept liability for any loss or damage that may arise directly or indirectly from the content or the User’s inability to access the Website. The Foundation bears no liability for the use or interpretation of such information. 
13.6 When the Website operates improperly because of the following circumstances and the User is unable to access and use the Services, the Foundation assumes no liability for damages. These circumstances include, but are not limited to:
 (a) system downtime during maintenance;
 (b) telecom or networking equipment issues; 
(c) typhoon, earthquake, tsunami, flood, power failure, war, terrorist attacks, and other force majeure factors; 
(d) any other issues, including hacker attacks, computer virus intrusion or attack, Website or backend maintenance and upgrade, banking related issues, government regulation or mandates, freezing order imposed by any Competent Authority and any other third party issues; and 
(e) damages to users or other third parties caused by third parties. 
13.7 While using the Services, the User agrees to and acknowledges the possibility of discontinuity and disruption of the Services due to connectivity problems of the networks or other force majeure. The User shall make sure to provide only correct information. The Foundation does not assume any responsibility for any losses caused by the aforementioned situations due to the User providing incorrect information that results in the Foundation’s inability to reach out and to explain to the User the handling procedures. 
13.8 Force Majeure Events. The Foundation is not liable for any delay or failure to perform any of its obligations under these Terms caused by a Force Majeure Event.
13.9 Indemnification. To the fullest extent permitted by the applicable laws and regulations, the User agrees to indemnify, hold harmless and promptly defend the Foundation from and against any and all losses arising from or in connection with any third-party claims, losses, liabilities, damages, judgments, penalties, fines, costs and expenses of whatever kind (including professional fees and reasonable attorney’s fees) which may be suffered or incurred by the Foundation arising out of or related to: 
(a) the User’s use of or conduct in connection with the User’s Account or the Services provided on the Website; 
(b) the User’s failure to perform any of the User’s obligations under these Terms; 
(c) a breach by the User and/or the Foundation’s enforcement of the Terms connected to the breach; 
(d) the User’s violation of any applicable laws and regulations; 
(e) the User’s violation of the rights of any third party;
 (f) any third party claim related to the User’s use of the Services provided on the Website; 
(g) any false, inaccurate, misleading or deceptive information provided by the User to the Foundation in the course of the Foundation providing the User with the Services under these Terms; 
(h) any investigation, claim, suit, action or other proceeding against the Foundation relating to or arising out of the User’s use of the Service by a governmental authority or regulatory or self-regulatory agency or organization in any applicable jurisdiction(s); or
(i) any breach by the User of any of the representations, warranties and undertakings made by the User to the Foundation under these Terms. 
13.10 If the User is obligated to indemnify the Foundation pursuant to this Clause 13.10, the Foundation will have the right, in its sole discretion, to control any action or proceeding and to determine whether it wishes to settle and, if so, on what terms. 
13.11 Disclaimer of warranties. The Services and any information or materials provided by the Foundation on the Website are provided on an “as is” and “as available” basis. The Foundation expressly disclaims and the User waives any and all warranties of any kind, whether express or implied, including, without limitation: (a) implied warranties of merchantability, fitness for a particular purpose, title and/or non-infringement; and (b) warranties arising from the course of performance, course of dealing or usage in trade. 
13.12 Without limiting Clause 13.11, the User acknowledges that: 
(a) the Foundation does not represent or warrant that the Services, any interface used to access the Services, the Website or any information or materials provided or made available by the Foundation are accurate, complete, reliable, current, error-free, free of viruses or other harmful components, or any other defects; and 
(b) the Foundation does not guarantee that any placed Order will be executed, accepted, recorded or remain open. 
13.13 Except for the express statements set forth in these Terms, the User hereby acknowledges and agrees that the User has not relied upon any other statement or understanding, whether written or oral, with respect to the use and access to the Website and/or the Services provided on the Website. 
13.14 The User hereby understands and agrees that the Foundation will not be liable for any Losses arising out of or relating to:
(a) any inaccuracy, defect or omission of any pricing information relating to a Digital Asset; 
(b) interruption in any such data; and 
(c) any error or delay in the transmission of such information. 
13.15 The Foundation cannot ensure or warrant the security or confidentiality of information transmitted to the Foundation or received from the Foundation through electronic means and SMS since the Foundation has no way of ensuring that the transmission of such information is protected at all times. If the User has reason to believe that the User’s data is no longer secure, the User should contact the Foundation through the contact form available on the Website.

14. Governing law
14.1 These Terms, the User’s use of the Services, any claim, counterclaim or dispute of any kind or nature whatsoever arising out of these Terms, directly or indirectly, shall be governed by, and construed in accordance with the laws of the Federation of Saint Christopher and Nevis without regard to the principles of conflicts of laws thereof.


15. Jurisdiction and dispute resolution
15.1 The User acknowledges and agrees that in the event of any dispute, controversy, difference or claim, including the existence, validity, interpretation, performance, breach or termination of these Terms or any dispute arising out of or relating to these Terms (the “Dispute”), the parties shall first attempt to resolve the Dispute through negotiations, in accordance with the conditions of these Terms. 
15.2 If the Dispute has not been settled upon the signing of a settlement agreement within ninety (90) days since one of the parties communicated in written to another party the existence of a Dispute, such Dispute shall be referred to and finally resolved by competent courts at the place of registration of the Foundation. 
15.3 The User agrees that the Foundation shall not be required to give general discovery of documents, but may be required only to produce specific, identified documents which are relevant and material to the outcome

16. Changes to these terms of service
16.1 The Foundation has the right to amend, replace, supplement or delete (each, an Amendment) the whole or any part of these Terms. The Foundation will provide the User with at least 5 calendar days advance notice of an Amendment, unless it is impractical to do so (including but not limited to immediate changes being required to comply with applicable laws and regulations or increased security measures being required due to potential security threats). 16.2 If the Foundation does not receive an objection from the User to an Amendment within the period specified in Clause 16.1, the User is deemed to have consented to the Amendment. 
16.3 If the User objects to an Amendment in accordance with Clause 16.2, the sole remedy for the User shall be to stop using the Services provided on the Website and close its User Account (by contacting the Foundation through the contact form available on the Website). In the event of the User’s refusal to accept an Amendment, the Foundation has the right to suspend and terminate the User’s access to the Website and Services provided on the Website, in accordance with these Terms.

17. Separability
17.1 If any provision of these Terms is deemed to be unlawful, invalid or unenforceable for any reason, such provision shall be deemed to be divisible and shall not affect the legal effect of any other provision.

18 Miscellaneous
18.1 If the Use has any complaints, feedback, or questions, it may contact the Foundation through the contact form available on the Website by providing its full name and email address and any other information it may be needed to identify the User or the Order regarding which the User contacts the Foundation.

19. Interpretation
19.1 In these Terms and unless otherwise specified, references to: 
(a) “party” means either the Foundation or the User, and “parties” means both the Foundation and the User; 
(b) “User” is a natural or legal person to whom the Foundation provides its Services pursuant to these Terms, and who have agreed to these Terms; 
(c) a “person”, whether capitalized or not, shall include a natural or legal person, as the context requires; 
(d) “Clause(s)” is/are to the clause(s) of these Terms; 
(e) “including”, “include” and “not limited to” or any similar expression in any phrase shall be construed as illustrative only and shall not limit the words preceding that term; 
(f) an act or course of conduct shall include positive acts and omissions;
(g) terms importing the singular include the plural and vice versa; and 19.2 Any translation of these Terms is provided for convenience only and may not accurately represent the information contained in the original English. In the event of inconsistency, the English language version of these Terms shall prevail.

20. Definitions
20.1 The words in the table below shall have the following meanings attributed to them:
Account    Account opened and maintained by the Foundation for the User to use the Services provided on the Website. In the context of these Terms, "User’s Account" means User Account and/or any Account for which the User has control or access to.
Competent Authority/ies    Any governmental, regulatory, judicial, law enforcement or public authority which has jurisdiction over the activities of the Foundation or any Users.
Digital Assets    Any digital asset which is based on the cryptographic protocol of a computer network that may be (i) centralized or decentralized, (ii) closed or open-source, and (iii) used as a medium of exchange and/or store of value. Furthermore, a Digital Asset is expressed as a unit; capable of being transferred, stored, and traded on a peer-to-peer basis with or without conditions or limitations. Digital Assets also include NFTs and other digital collectibles.
Enhanced Due Diligence    Program whereby Users who have been designated as high risk undergo enhanced scrutiny and diligence.
Force Majeure Event    Event beyond the reasonable control of the Foundation or the User which prevents or substantially hinders the Foundation or the User from complying with any of their obligations, including but not limited to: (a)acts of God, fire, storm, tempest, explosion, flood, earthquake, subsidence or any other natural physical disasters; 
(b)acts of war, terrorism, riots, civil commotion, military action, insurrections, rebellions or revolutions and any other similar acts; (c)pandemics or epidemics; 
(d)failures or interruptions in power, communication channels, hardware, software, Internet connections and information systems; (e)acts of state or government, political interference, sanctions and embargoes 
(f) any other similar acts or events, disruptions, errors, distortions or delays, provided such events are not the result of a party's fraud, gross negligence or willful default.
Loss(es)    Any claim, demand, action, proceeding, liability, expense (including legal and professional expenses), cost, charge, injury, damages, fine, penalty or diminution of value.
Notice    A binding communication issued by the Foundation to the Users, informing the Users of specific matters of relevance with respect to the proper functioning of the Foundation’s Website and/or the Services provided on the Website, including but not limited to changes to the policies, fees or any other relevant matter, as may be required from time to time.
Order    A single deliberate or non-deliberate request by a registered user of a single instance of any of the Services provided by the Foundation on the Website. Such a request is typically done electronically on the Website through the selection of the needed Services by a registered user.
Services    Services provided by the Foundation to its registered users under these Terms.
Terms    These Terms of Service and any ancillary documents referred to herein and any amendments thereto.
User    User of the Website who agreed to these Terms to be binding and who receives the Services which the Foundation provides to its Users under these Terms.
